1. We comply with laws, regulations and standards in general, as well as this Code of Conduct and Ethics, the policies, standards and procedures established by the Zmax Blue Ship Administration.
1. In our activities inside and outside Zmax Blue Ship, or on its behalf, directly or through third parties, we do not participate in acts of corruption, therefore;
• we do not order, authorize or promise the carrying out of corrupt practices,
• we do not induce anyone to carry out corrupt practices,
• we do not conjure for these to be carried out.
2. We comply with anti-corruption laws.
3. We do not accept any type of bribes from government officials.
In the relationship between our employees and public or political agents, Zmax Blue Ship does not authorize:
1. Support participation in campaigns or political and/or party activities using the Group’s name;
2. Use any of the Group’s facilities, materials and equipment to support political parties or elect candidates.
1. Those who have or intend to have commercial, business or investment relationships in companies or other businesses outside of Zmax Blue Ship will only be able to do so, as long as they have been analyzed and approved in accordance with the Corporate Policies established by the Group.
2. We apply the Conflict of Interest Declaration and Form annually, and all senior leadership must complete, sign and update their information, whenever necessary, with the Compliance team. It is worth noting that the omission or incorrect provision of information is characterized as fraud and, therefore, subject to administrative and legal sanctions.
3. We do not have investments that allow us to have influence or participation in the commercial activities of competing businesses.
4. Hiring family members is permitted, as long as they are authorized by senior management and in accordance with what is established in our Corporate Policies, respecting the recruitment program and skills matrix, thus avoiding conflicts of interest and favoritism.
5. We do not receive, pay, offer, promise or authorize, on behalf of Zmax Blue Ship or in a personal capacity, directly or indirectly, money, gifts, advantageous conditions, salaries, trips, commissions or anything else of value to obtain an advantage or undue benefit.
6. We only accept or offer gifts and courtesies of a promotional nature, occasional and of symbolic value.

This Code of Conduct and Ethics is based on the 10 Universal Principles of the UN Global Compact, therefore adherence is expected from all employees and other interested parties.
We recognize that complying with these principles is an ongoing commitment and that everyone has a role to play in promoting responsible and ethical practices. Zmax Blue Ship is committed to maintaining and reinforcing the integrity and reputation of the Group, and we count on everyone’s support to achieve this goal.
Violation of this Code of Conduct and Ethics, Zmax Blue Ship policies and procedures is subject to disciplinary action, regardless of hierarchical level, based on current legislation.
The approval and validity of this Code of Conduct and Ethics was validated by senior leadership, coming into force upon its publication.
